Terms and Conditions

1. Acceptance of Terms

By creating an account, accessing, or using the Omby application ("the App"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("the User") and Omby ("the Platform", "we", "us"). If you do not agree to these Terms, you must not access or use the App.

Your continued use of the App following the publication of any changes to these Terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 16 years of age to create an account and use the App, in accordance with the General Data Protection Regulation (GDPR) requirements for data consent in Portugal. By using the App, you represent and warrant that you meet this age requirement.

3. Definitions

To facilitate comprehension and precision throughout this agreement, certain terms are defined herein:

  • App: The Omby mobile application, available on iOS and Android, operated by Omby.
  • User: Any individual who creates an account and uses the App, whether as an Organizer or a Participant.
  • Organizer (Host): A User who creates and manages an Event on the App. The Organizer is responsible for the accuracy of event details and for ensuring the event takes place as described.
  • Participant (Guest): A User who joins an Event organized by another User.
  • Event: A football game or sporting activity organized through the App, characterized by a date, time, venue, price, format, and intensity level.
  • Prepaid Event: An Event where Participants pay through the App before the game takes place. Payment is processed via the Wallet.
  • Pay-at-Field Event: An Event where Participants pay the Organizer directly at the venue. The App facilitates organization but does not process the payment.
  • Wallet: The in-app digital balance associated with each User account, used to pay for Prepaid Events, receive refunds, and store funds.
  • Omby Gems: A virtual reward currency earned through platform engagement, redeemable toward Event participation fees.
  • Service Fee: A non-refundable fee charged by Omby on top of the Event participation price to cover operational costs and platform improvements.
  • Field: A football playing venue, defined by its name, address, city, and postal code.

4. Account Registration & Integrity

Users must provide accurate and truthful information during registration, including their real name and a valid email address. Accounts created with false or misleading information may be suspended or terminated without notice.

Each User is permitted to maintain only one active account on the Platform. Creating multiple accounts, whether to circumvent a restriction, artificially inflate event participation, or for any other purpose, constitutes a violation of these Terms.

If an account is suspended or terminated, the User may not create or use another account without explicit written authorization from Omby. Any new account identified as being associated with a previously restricted User may be immediately suspended.

Omby reserves the right to identify and restrict associated accounts based on any available information, including but not limited to email addresses, device identifiers, behavioral patterns, shared event participation, or any other relevant indicators.

5. User Obligations

As a User of the App, you agree to:

  • Maintain the confidentiality of your login credentials and accept responsibility for all activity under your account.
  • Comply with all rules, guidelines, and policies prescribed by the App.
  • Treat other Users with respect and contribute to a positive community environment.
  • Report any bugs, errors, or vulnerabilities you discover to Omby promptly rather than exploiting them (see Section 12).
  • Not use the App for any unlawful purpose or in any way that could damage, disable, or impair the Platform.

6. Organizer Responsibilities

Users who create Events ("Organizers") bear additional responsibilities:

  • Providing accurate event information, including venue, date, time, format, and price.
  • Setting prices that reasonably reflect the actual cost of the venue and event. Prices should represent a fair, proportional split of actual costs among participants.
  • Setting participant capacities that are appropriate for the chosen format and venue. Inflating capacity beyond what is necessary for the game format in order to collect additional funds is prohibited.
  • Ensuring that the event takes place as described. If an event cannot take place, the Organizer must cancel it in a timely manner.
  • For Pay-at-Field Events, collecting only the amount stated in the event listing. Charging participants more than the listed price is a violation of these Terms.

Omby reserves the right to review event pricing and capacity patterns. Organizers who repeatedly set prices or capacities that appear inconsistent with actual venue costs may have their accounts restricted.

7. Prohibited Conduct

As a community-driven platform, Omby is designed to facilitate fair and accessible football games for all Users. The following activities are strictly prohibited:

  • Using the Platform for unauthorized commercial purposes, including but not limited to systematically organizing events with the intent of generating personal profit beyond the recovery of actual event costs.
  • Collecting payments from Participants, whether through the App or outside of it, that significantly exceed the proportional share of actual event costs.
  • Misrepresenting the nature, cost, or purpose of an event to other Users.
  • Using the Platform to recruit players for activities unrelated to the events described in the App.
  • Soliciting, sharing, or requesting personal contact information (including but not limited to phone numbers, messaging app identifiers, or group invitation links) through the App's communication features, event descriptions, or any other platform channel, for the purpose of organizing sporting activities outside the Platform, thereby circumventing the Platform's payment, safety, and community systems.
  • Attempting to manipulate, exploit, or abuse any feature of the App, including but not limited to the payment system, wallet, refund mechanism, or rewards program.
  • Harassing, threatening, or engaging in abusive behavior toward other Users or Omby staff.
  • Accessing or attempting to access other Users' accounts, data, or personal information.
  • Using automated tools, bots, or scripts to interact with the App.

Users found engaging in prohibited conduct may have their accounts restricted or permanently terminated, at the sole discretion of Omby, without prior notice or right to appeal.

8. Wallet & Balance

Each User account includes a digital Wallet that can be used to pay for Prepaid Events, receive refunds, and store funds for future use.

Deposits

Users may add funds to their Wallet via the payment methods available in the App. Deposits are processed through our third-party payment provider (Stripe). Payment processing fees are charged by the payment provider and deducted from the deposited amount. The net amount after fees is credited to the User's Wallet balance.

Wallet Balance

The Wallet balance is denominated in Euros and reflects funds available for use within the App. The Wallet is not a bank account, a savings product, or a financial instrument. Wallet balances do not earn interest. Omby is not a financial institution.

Withdrawals to Bank Account

Users may request to transfer their Wallet balance to a linked bank account, subject to the following conditions:

  • A minimum withdrawal amount applies (as displayed in the App at the time of the request).
  • Withdrawal requests are subject to review and approval by Omby. Omby reserves the right to delay or refuse a withdrawal if there is a reasonable suspicion of fraud, abuse, or a violation of these Terms.
  • Processing times may vary. Omby does not guarantee specific transfer timelines.

Balance on Account Termination

If a User's account is terminated for a violation of these Terms, any remaining Wallet balance may be forfeited. Omby reserves the right to withhold funds pending investigation of suspected violations. If the account is terminated at the User's own request and no violations are suspected, any remaining balance will be returned to the User via bank transfer, subject to applicable fees and processing times.

9. Payment & Service Fees

When joining a Prepaid Event, the total amount due includes:

  • The Event participation price, as set by the Organizer.
  • A Service Fee charged by Omby. The Service Fee covers operational costs, platform maintenance, and improvements. The applicable Service Fee amount is displayed to the User before confirming participation.

Service Fees are non-refundable, except in cases where the Event is cancelled by the Organizer or does not take place, in which case a full refund including the Service Fee will be issued.

For Pay-at-Field Events, no payment is processed through the App. The financial arrangement between the Organizer and Participants is their sole responsibility. Omby bears no liability for payments made outside the App.

10. Cancellation & Refund Policy

Users are encouraged to honor their commitments when joining Events. Late cancellations disrupt event organization and negatively impact other players. The following refund tiers apply when a Participant withdraws from a Prepaid Event:

Refund Tiers

  • More than 48 hours before the Event: 100% refund of the participation price.
  • Between 48 and 24 hours before the Event: 50% refund of the participation price.
  • Less than 24 hours before the Event: No refund.

Refunds are credited to the User's Wallet. The refund amount is calculated based on the participation price only; Service Fees are refunded only when the Event is cancelled by the Organizer or does not take place.

Penalty for Repeated Late Cancellations

Users who repeatedly cancel within the late cancellation window (less than 2 hours before the Event) may be subject to additional penalties:

Penalty System

  • Yellow Card: A first late cancellation results in a Yellow Card, visible on the player's profile for the next 2 games or 14 days (whichever comes first). This serves as a warning to Organizers, who may use this information when managing their events.
  • Red Card: A second late cancellation while under a Yellow Card results in a Red Card, visible for the next 4 games or 30 days (whichever comes first). A Red Card indicates a pattern of unreliability to Organizers.
  • Financial Penalty: When a User with an active penalty card drops out of a Prepaid Event, a penalty deduction of 25% of the original participation price may be applied to the refund amount. This deduction is retained by Omby. For example, a User with a penalty dropping out more than 48 hours before an Event would receive 75% of the participation price instead of 100%.

Penalty cards are automatically removed after the specified number of games or the time period, whichever comes first. Omby reserves the right to adjust penalty thresholds and amounts at its discretion.

11. Rewards & Incentives

Omby offers a reward system through "Omby Gems" to incentivize user engagement and community participation.

Earning Gems

Users may earn Omby Gems through various activities, including but not limited to: hosting events that attract paid participants, completing in-app quests, maintaining participation streaks, earning titles, and referring new users to the platform. The specific number of Gems earned per activity is determined by Omby and may change at any time.

Redeeming Gems

Omby Gems can be redeemed as a form of payment, in whole or in part, toward Event participation fees, subject to the rules and conditions set forth in the App. The redemption rate (value per Gem) is set by Omby and may be adjusted at any time.

Gem Limitations

Omby Gems hold no monetary value outside the App and cannot be exchanged for cash, transferred to other Users, or withdrawn. Omby reserves the right to modify, suspend, or discontinue the Gems program at any time. In the event of account termination for a violation of these Terms, any accumulated Gems will be forfeited.

12. System Errors & Bug Exploitation

While Omby strives to maintain the accuracy and reliability of all platform features, technical errors may occasionally occur in the processing of payments, refunds, wallet balances, or other financial operations.

Obligation to Report

Users who discover any bug, error, or unexpected behavior in the App — particularly relating to payments, refunds, wallet balances, or any financial transaction — are required to report it promptly to Omby at omby.general@gmail.com. Deliberately concealing or failing to report a known error is a violation of these Terms.

Prohibition of Exploitation

Users must not knowingly exploit, take advantage of, or benefit from any system error, bug, or technical malfunction. This includes, but is not limited to:

  • Receiving a refund, credit, or payment in an amount greater than what is legitimately owed.
  • Manipulating transactions, event participation, or wallet operations to trigger unintended financial outcomes.
  • Repeatedly performing actions that are known to produce erroneous results.

Right to Correction & Recovery

Omby reserves the right to reverse, correct, or adjust any transaction that resulted from a technical error, at any time and without prior notice. This includes the right to:

  • Debit the User's Wallet balance to recover funds credited in error.
  • Reverse erroneous refunds or payments.
  • Withhold future withdrawals, refunds, or rewards until the erroneous amount has been fully recovered.

Any funds received as a result of a system error remain the property of Omby. Users who knowingly retain such funds may be considered in violation of these Terms, and Omby reserves the right to pursue all available legal remedies for recovery, including civil action for unjust enrichment.

Users who deliberately exploit system errors may have their accounts immediately and permanently terminated, and may be subject to legal proceedings.

13. Intellectual Property

The App and all of its content, features, and functionality — including but not limited to text, graphics, logos, icons, trademarks, and software — are the exclusive property of Omby and are protected by applicable intellectual property laws. Users are strictly prohibited from copying, reproducing, distributing, or creating derivative works from any part of the App without explicit written permission from Omby.

14. Liability & Disclaimers

Omby provides a platform for organizing and discovering football games. Omby does not organize, supervise, or control the events themselves. Accordingly:

  • Omby disclaims any responsibility for injuries, losses, damages, or disputes that may occur during or as a result of events facilitated through the Platform.
  • Omby does not guarantee the accuracy, reliability, or completeness of information provided by Users, including event details, venue availability, or participant behavior.
  • Omby does not guarantee continuous, uninterrupted, or error-free operation of the App. The Platform may be temporarily unavailable due to maintenance, updates, or technical issues.
  • For Pay-at-Field Events, Omby bears no responsibility for the financial arrangement between the Organizer and Participants. Any payment disputes arising from Pay-at-Field Events are the sole responsibility of the parties involved.

To the maximum extent permitted by applicable law, Omby's total liability to any User for any claim arising from the use of the App shall not exceed the total amount of Service Fees paid by that User in the 12 months preceding the claim.

15. Third-Party Services

The App integrates with third-party services to provide its functionality, including but not limited to payment processing (Stripe), authentication services, and push notification services. By using the App, you acknowledge and agree that:

  • Your use of these third-party services is subject to their respective terms of service and privacy policies.
  • Omby is not responsible for the availability, accuracy, or performance of third-party services.
  • Payment processing, including deposits and withdrawals, is subject to the terms and fees of the payment provider.

16. Communications

By creating an account, you consent to receive communications from Omby, including but not limited to push notifications, in-app messages, and emails related to your account, events, and platform updates. You may manage your notification preferences through the App settings or your device settings. Certain communications, such as account security alerts and critical service updates, cannot be opted out of.

17. Termination

Omby reserves the right to suspend or permanently terminate any User account, at its sole discretion, for any of the following reasons:

  • Violation of any provision of these Terms.
  • Engaging in Prohibited Conduct as described in Section 7.
  • Exploiting system errors as described in Section 12.
  • Creating multiple accounts in violation of Section 4.
  • Behavior that is harmful to the community, other Users, or the reputation of the Platform.
  • Any other misuse of the App's features or functionalities.

Omby is not required to provide prior notice or a reason for account termination. Terminated Users may not create new accounts without explicit written authorization.

Users may terminate their own accounts at any time by contacting Omby at omby.general@gmail.com. Upon voluntary termination, any remaining Wallet balance (after deducting outstanding obligations) will be returned to the User. Omby Gems are forfeited upon account termination, whether voluntary or involuntary.

18. Privacy & Data Protection

Omby processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Portuguese data protection laws. For detailed information about how we collect, use, store, and protect your personal data, please refer to our Privacy Policy, available at omby.pt/privacy-policy.

Users have the right to request access to, correction of, or deletion of their personal data, in accordance with applicable law. Requests can be submitted to omby.general@gmail.com.

19. Dispute Resolution

In the event of a dispute between Users (for example, regarding event organization, payments at the field, or participant behavior), the parties are encouraged to resolve the matter directly. Omby may, at its discretion, mediate disputes but is under no obligation to do so.

For disputes between a User and Omby, Users should first contact Omby at omby.general@gmail.com to seek an amicable resolution. If a resolution cannot be reached, the dispute shall be subject to the jurisdiction of the courts specified in Section 20.

20. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Portuguese Republic. Any disputes arising from or relating to these Terms or the use of the App that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Porto, Portugal.

21. Amendments

Omby reserves the right to update or modify these Terms at any time, in order to reflect changes in its services, features, or applicable legal requirements.

Users will be informed in a clear and appropriate manner if any substantial changes are made that could affect their rights or obligations. For minor or purely editorial adjustments, no individual notification will be sent, but the updated version will always be available in the App and on the Omby website.

A "Last Updated" date is displayed at the top of these Terms. By continuing to use the App after the publication of updates, Users acknowledge and accept the revised Terms.
